PetroCard Standard Terms & Conditions 

(Applies to All Sales, Deliveries, and Cardlock Purchases) 

1. Pricing & Payment 

Prices are based on prevailing market conditions and may vary without notice. 

Past-due balances accrue finance charges at 1.5% per month (18% per annum) or the maximum allowed by law. Services and deliveries may be suspended until payment is received. 

Customer is responsible for all collection costs and attorney’s fees on delinquent accounts. 

Payments may be applied at PetroCard’s discretion; setoff rights are reserved. 

2. Credit & Security 

All credit is subject to PetroCard’s sole discretion and may be reduced or revoked at any time. 

A Personal Guaranty may be required as a condition of extending credit. 

Upon termination, Customer must immediately pay all outstanding sums. 

3. Delivery, Title & Risk of Loss 

Title and risk of loss transfer to Customer upon delivery at the agreed location or FOB PetroCard facility. 

Customer is responsible for all purchases made with issued cardlock cards, including unauthorized or fraudulent use. 

4. Product Quality & Specifications 

PetroCard warrants that Products meet applicable ASTM and regulatory specifications at the point of delivery. 

No warranty is made as to suitability for any particular purpose. 

Customer is responsible for proper storage, handling, and use after delivery. 

5. Compliance & Safety 

Customer must comply with all applicable federal, state, and local laws regarding storage, use, and resale of fuel. 

Customer assumes responsibility for compliance with environmental and tax regulations after delivery. 

Customer indemnifies PetroCard against claims for injury, property damage, or misuse of cardlock cards or delivered Products. 

6. Taxes & Fees 

Customer is responsible for all applicable taxes, surcharges, and fees unless a valid exemption certificate is provided in advance. 

7. Force Majeure 

PetroCard shall not be liable for delays or failures caused by events beyond its control, including supply disruptions, natural disasters, government actions, strikes, or transportation interruptions. 

8. Ownership Changes 

Customer must promptly notify PetroCard of changes in ownership or sale of substantially all assets. 

9. Warranty & Liability 

Disclaimer: PetroCard disclaims implied warranties of merchantability and fitness for a particular purpose. 

Exclusion: PetroCard shall not be liable for consequential, incidental, or indirect damages. 

10. Governing Law & Venue 

This Agreement is governed by Washington State law. 

Venue shall be in King County, Washington courts. 

Both parties waive the right to a jury trial. 

11. Entire Agreement 

These Terms & Conditions, along with the Credit Agreement and any written addenda, constitute the entire agreement. 

No oral agreements are enforceable. 

Contracts may be signed in counterparts, including fax or electronic signatures. 

All sales are subject to PetroCard Standard Terms & Conditions.
